What is a sales contract?

A sales contract is the binding agreement between buyer and seller that governs an international transaction. It records the goods, price, quantity, delivery and payment terms, and how disputes are resolved — giving both sides certainty and a reference if anything goes wrong. It typically underpins the proforma invoice, purchase order and shipping documents.

What a sales contract includes

  • Seller & buyer (full legal details)
  • Contract number & date
  • Goods — description, quantity, unit price, amount
  • Incoterms® 2020 & delivery terms
  • Payment terms (e.g. L/C, T/T) & currency
  • Inspection, warranty & dispute-resolution clauses

Frequently asked

What is the difference between a sales contract and a proforma invoice?
A proforma invoice is a short, document-style confirmation of price and terms used to arrange payment; a sales contract is the fuller agreement that also covers delivery, inspection, warranty and dispute resolution. The contract governs; the proforma supports payment.
What payment terms are common in an international sales contract?
Common terms include a letter of credit (L/C), telegraphic transfer (T/T) with a deposit and balance, or documents against payment (D/P). The contract should state the method, timing and currency precisely.
